1. Acceptance of These Terms
By accessing or using the Services, you agree to these Terms and our
Privacy Policy. If you do not agree, do not use
the Services. If you use the Services on behalf of an organization, you
represent that you have authority to bind that organization to these Terms.
2. Eligibility
You must be at least 13 years old to use the Services. If a higher age of
digital consent applies where you live, you may use the Services only if you
meet that requirement. If you are under the age of majority in your location,
you may use the Services only with permission from a parent or legal guardian.
3. What Omi Is and Is Not
Omi is a reflection and decision-support tool designed to help you understand
patterns, values, priorities, and tradeoffs. Omi does not provide therapy,
medical care, diagnosis, treatment, legal advice, financial advice, or crisis
support. The Services are not a substitute for professional judgment or care.
If you are in danger, may harm yourself or others, or need urgent help, stop
using the Services and contact local emergency services immediately. In the
United States, you can call or text 988 for the Suicide & Crisis Lifeline.
4. Accounts and Security
Some features may require an account. You agree to provide accurate
information, keep your credentials secure, and notify us promptly if you
suspect unauthorized access. You are responsible for activity that occurs
through your account.
5. Your Content
You may provide reflections, answers, decisions, goals, feedback, or other
content through the Services ("User Content"). You keep ownership of your
User Content. You grant Omi a non-exclusive, worldwide, royalty-free license
to host, store, reproduce, process, display, and use your User Content only
as needed to provide, maintain, secure, personalize, and improve the Services,
and as otherwise described in our Privacy Policy.
You represent that you have the rights needed to submit your User Content and
that it does not violate law or the rights of others.
6. AI Outputs and Personal Judgment
The Services may generate reflections, summaries, recommendations, or other
outputs using artificial intelligence ("Outputs"). Outputs may be incomplete,
inaccurate, outdated, or not appropriate for your circumstances. You are
responsible for evaluating Outputs before relying on them or making decisions.
7. Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, abusive, deceptive, or fraudulent purposes.
- Submit content that infringes rights, violates privacy, or contains malware.
- Attempt to access another person's account or collect information about other users.
- Reverse engineer, scrape, crawl, copy, or misuse the Services except as allowed by law.
- Interfere with, overload, disrupt, or bypass the security of the Services.
- Use the Services to build a competing product or train models without our written permission.
- Misrepresent who you are or imply endorsement by Omi without permission.
8. Omi Materials and Intellectual Property
The Services, including software, design, text, graphics, logos, prompts,
features, and other materials, are owned by Omi or our licensors and are
protected by intellectual property laws. Subject to these Terms, we grant you
a limited, personal, non-exclusive, non-transferable, revocable license to use
the Services for your own personal, non-commercial purposes.
9. Payments and Subscriptions
Some features may be free, and others may require payment or a subscription.
Prices, billing terms, renewal terms, cancellations, and refunds may be
presented in the app, on our website, or by the applicable app store or
payment provider. If you purchase through Apple, Google, Stripe, or another
provider, your purchase may also be governed by that provider's terms.
10. Third-Party Services
The Services may link to or integrate with third-party services, platforms,
app stores, payment processors, analytics providers, AI providers, or content.
We do not control third-party services and are not responsible for their
content, practices, or availability.
11. Feedback
If you provide ideas, suggestions, or feedback, you grant Omi permission to
use them without restriction or compensation. We appreciate feedback, but we
may already be working on similar ideas.
12. Changes to the Services or Terms
We may update, suspend, discontinue, or change the Services at any time. We
may also update these Terms. If changes are material, we will provide notice
by posting updated Terms, updating the effective date, or using other legally
required methods. Your continued use after changes become effective means you
accept the updated Terms.
13. Termination
You may stop using the Services at any time. We may suspend or terminate your
access if we believe you violated these Terms, created risk, or used the
Services in a way that may harm Omi, other users, or third parties. Sections
that by their nature should survive termination will survive.
14. Disclaimers
The Services are provided "as is" and "as available." To the fullest extent
permitted by law, Omi disclaims all warranties, express or implied, including
warranties of merchantability, fitness for a particular purpose,
non-infringement, accuracy, availability, and reliability. We do not warrant
that the Services or Outputs will be uninterrupted, secure, error-free, or
meet your expectations.
15. Limitation of Liability
To the fullest extent permitted by law, Omi and its affiliates, officers,
employees, contractors, and licensors will not be liable for indirect,
incidental, special, consequential, exemplary, or punitive damages, or for
lost profits, lost data, goodwill, or business interruption. To the fullest
extent permitted by law, Omi's total liability for any claim related to the
Services will not exceed the greater of the amount you paid to Omi for the
Services in the 12 months before the claim or 100 U.S. dollars.
16. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and
hold harmless Omi and its affiliates, officers, employees, contractors, and
licensors from claims, liabilities, damages, losses, and expenses, including
reasonable attorneys' fees, arising from your use of the Services, your User
Content, or your violation of these Terms.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of California and applicable
U.S. federal law, without regard to conflict-of-law rules. Before filing a
claim, you and Omi agree to try to resolve disputes informally by contacting
hi@heyomi.co. If a dispute cannot be
resolved informally, the state or federal courts located in California will
have exclusive jurisdiction, unless applicable law requires a different forum.
18. Miscellaneous
You may not assign these Terms without our permission. We may assign these
Terms as part of a merger, acquisition, reorganization, or sale of assets. If
any provision is found unenforceable, the remaining provisions will remain in
effect. Our failure to enforce a provision is not a waiver. These Terms,
together with the Privacy Policy and any additional terms presented to you,
are the entire agreement between you and Omi regarding the Services.
